Agreement to Terms
By accessing or using Starling Reese's managed IT services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
Description of Services
Starling Reese provides enterprise-grade managed IT services, including but not limited to:
- Managed IT infrastructure and support
- 24/7 network monitoring and NOC services
- Cybersecurity and managed security services
- Helpdesk and technical support
- Cloud management and migration
- Backup and disaster recovery
- Compliance and governance consulting
Account Registration
To use certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
Service Level Agreement (SLA)
Our commitment to service quality is detailed in our separate Service Level Agreement (SLA), which forms part of these Terms. The SLA specifies:
- Guaranteed uptime percentages
- Response time commitments
- Resolution timeframes
- Service credits and remedies
Fees and Payment
You agree to pay all fees associated with your selected service tier and any additional services. Payment terms include:
- Fees are billed monthly or annually as selected
- Payment is due within 30 days of invoice date
- Late payments may incur interest charges
- We may suspend services for non-payment after notice
- All fees are non-refundable except as required by law
Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to systems
- Interfere with or disrupt our Services
- Use Services for illegal or fraudulent activities
Data and Confidentiality
We maintain strict confidentiality regarding your data and business information. Both parties agree to:
- Protect confidential information from unauthorized disclosure
- Use confidential information only for service delivery
- Return or destroy confidential information upon termination
- Comply with applicable data protection regulations
Intellectual Property
The Services, including all content, features, and functionality, are owned by Starling Reese and protected by intellectual property laws. You retain ownership of your data and content.
Limitation of Liability
To the maximum extent permitted by law, Starling Reese shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Termination
Either party may terminate the service agreement with 30 days' written notice. We may terminate immediately for breach of these Terms. Upon termination:
- Your access to Services will cease
- Outstanding fees become immediately due
- We will provide data export assistance as specified in your agreement
- Confidentiality obligations continue post-termination
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes. Continued use of Services after changes constitutes acceptance of modified Terms.
Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved through arbitration in Amsterdam, Netherlands.
